THE INDIANA ACADEMY OF
OCCUPATIONAL HEALTH NURSING, INC
BYLAWS
ARTICLE I – NAME
This association, sponsored by the Indiana Association of
Occupational Health Nurses, Inc., shall be called the
Indiana Academy of Occupational Health Nursing.
ARTICLE II – PURPOSE
It shall be the aim and goal of the Indiana Academy of
Occupational Health Nursing to design and promote a program
for professional growth.
The Indiana Academy of Occupational Health Nursing, Inc.,
deems it appropriate to recognize these members who have
demonstrated an interest in their professional growth by
meeting the requirements of the Academy.
ARTICLE III – MEMBERSHIP
Section A. CLASSES AND ELIGIBILITY
The membership of this Association shall consist of the
following:
1. Active Members
a. A registered professional nurse who is an Active Member
of IAOHN.
b. Have acquired in a consecutive three (3) year period the
required number of contact hours and number of Association
Activity points as prescribed in the CODE OF THE ACADEMY.
2. Inactive Members
a. An Inactive Member of IAOHN.
b. Had acquired in the three (3) consecutive years prior to
retirement the required number of contact numbers outlined
in the CODE OF THE ACADEMY and to have been an Active
Member.
3. Associate Members
a. Must be an Associate Member of IAOHN.
b. Must have acquired in a consecutive three (3) year period
the number of contact hours and Association Activity points
as approved by the Board of Commissioners.
4. Honorary Members
A registered professional nurse of the United States or a
foreign country of exceptional eminence in occupational
health nursing or allied sciences.
Section B. ELECTION TO MEMBERSHIP
1. Written application shall be made for membership in this
Association.
2. A candidate for membership must be recommended to the
Commission by a member of IAOHN personally acquainted with
the candidate.
3. Application shall be made on a form approved by the
Commission. The form may only be obtained by a member of
IAOHN.
4. The applicant shall submit his/her professional and
personal qualifications with the application form.
5. Membership shall be conferred upon approval on the
application by a majority vote of the Commission.
6. Approval of all applications for and the conferring of
membership shall be within the sole, absolute, and
unrestricted discretion of the Commission.
Section C. RENEWAL OF MEMBERSHIP
1. Application of renewal of membership shall be made on a
form approved by the Commission.
2. The application form shall be mailed and returned to the
Commission prior to January 1, three (3) years following
admission to membership and three (3) years after each
renewal.
Section D. ADMISSION FEES AND RENEWAL
1. Each and every newly elected active and associate member
shall pay an admission fee determined by the IAOHN Board if
Directors.
2. Each and every newly elected inactive member shall pay an
admission fee determined by the IAOHN Board of Directors.
3. Honorary members pay no admission fee.
4. Active and associate members shall pay dues as determined
by the IAOHN Board of Directors, when their membership is
renewed every three (3) years.
5. Inactive members shall pay no dues.
6. Honorary members pay no dues.
7. Admission fees and dues in the amount of ten dollars
($10.00) shall accompany the application form for admission
and a fee of five dollars ($5.00) for renewal of membership,
respectively.
8. Admission fees and dues shall be forwarded to the IAOHN
treasurer to be held in trust for the expenses of the
Academy.
Section E. RIGHTS AND PRIVILEGES
1. All active and associate members shall have full rights
and privileges of membership.
2. Inactive and honorary members shall have only such
privileges as may be specifically conferred upon them by the
Commission.
Section F. FORFEITURE OF MEMBERSHIP
1. DISCIPLINE: The Commission shall voluntarily or on a
written statement signed by a complainant, take cognizance
of any breach of the rules or regulations of the Academy, or
any unprofessional conduct prejudicial to the best interests
of this Association of the field of occupational health
nursing on the part of a member.
The Commission may, after an investigation, suspend, expel,
or otherwise discipline the member by a two-thirds (2/3)
vote of the Commissioners. Provided that a statement of the
charges shall have been mailed at least fifteen (15) days
before final action is taken thereon. This statement shall
be accompanied by a notice of the time when and the place
where the Commission is to take action. The member shall be
given an opportunity to answer and defend at the time and
place mentioned in the notice. Such member, failing to be
present at the specified meeting, would automatically
forfeit membership.
2. MAINTENANCE OF ELIGIBILITY: Membership shall be forfeited
as determined by the Commission for failure to maintain
active compliance with the eligibility qualifications
required to initial membership. Active members may leave the
field of occupational health nursing for a period not
exceeding three years for the purpose of furthering their
education and maintain membership during such temporary
leave.
3. RESIGNATION: Any member who has complied with the
requirements of the by-laws may resign from the Academy by
presenting a letter in writing to the Chairperson. Such
resignation shall become effective only when accepted by the
Commission.
Section G: REINSTATEMENT
A member who has resigned while in good standing or has
forfeited membership by failing to reapply for membership
for non-payment of dues may be reinstated as provided in
ARTICLE III, Section B, of these by-laws with payment of the
current three (3) year period of dues.
ARTICLE IV – BENEFACTOR
A person who has rendered valuable service to the Academy
may be elected Benefactor at any State meeting upon
recommendation of the Commission.
ARTICLE V – MEMBERSHIP MEETINGS
Section 1. ANNUAL MEETING
There will be an Annual Meeting of the Academy in
conjunction with the IAOHN Annual Meeting.
Section 2. NOTICE
Notice of the Annual Meeting shall be mailed to all members
not less than ten (10) and not more than forty (40) days
before the date of the meeting.
ARTICLE VI – OFFICERS AND TERMS OF OFFICE
Section 1. GOVERNING BODY OF THE ACADEMY
a. The governing body of the Academy shall be called the
Commission. Its members shall be called Commissioners.
b. A Commissioner must be a member of the Academy and
maintain membership.
c. The Commission shall have a continuity of members, so the
member will be well informed as to the work of the
Commission through progressive experience.
d. The Commission shall have a Chairperson plus one from
each Constituent of IAOHN.
e. The Chairperson shall have no vote except to break a tie.
f. The Commissioners shall be appointed by the IAOHN Board
of Directors.
Section 2. TERM OF OFFICE
a. The President of IAOHN shall appoint one of the original
Commissioners to serve a three (3) year term.
b. Positions 1, 2, 3, 4 and 5 or as high a number as there
are Constituents are to be drawn by lot for the remaining
Commissioners.
c. After the original three (3) years, the number one (1)
position will move up to Chairperson to serve a two (2) year
term. Each subsequent position will move up and the new
Commissioner appointed becomes position 5 or the highest
number.
d. If a Commissioner leaves the Commission for any reason,
all positions behind the Commissioner move up and the new
Commissioner appointed becomes position 5 or the highest
number.
e. Inability to serve a Chairperson automatically removes
the Commissioner from the Commission.
f. If a Commissioner of the Academy shall fail to discharge
his/her duties to the satisfaction of the Commission, he/she
may be dismissed from the Commission by a two-thirds (2/3)
vote of the Commissioners present and voting at a stated
meeting.
No motion for dismissal shall be acted upon until the
Chairperson shall have notified the alleged delinquent by
registered mail, returned receipt requested, at his/her last
given address. All Commissioners shall be notified by mail
of such proposed action and the date and place on the
meeting at which action is to be taken.
ARTICLE VII – MEETINGS OF THE COMMISSION
Section 1. There shall be a meeting of the Commission at
least three (3) times a year, one being in conjunction with
the annual meeting of IAOHN.
Section 2. A special meeting may be called by the
Chairperson and shall be called by the Chairperson upon the
written request of three (3) Commissioners. A special
meeting may be conducted by phone or mail.
Section 3. Notice of all meetings of the Commission shall be
mailed not less than ten (10) days before the day of the
meeting.
Section 4. A majority of the Commission members including
the Chairperson shall constitute a quorum at any duly
convened meeting of the Commission.
Section 5. Unless otherwise specifically provided in these
by-laws, any action authorized to be taken by the Commission
may be taken by the members present and voting at any
regular or special meeting of the Commission duly convened.
Section 6. The following shall be the order of business for
slated meetings of the Academy Commission:
1. Reading of the minutes
2. Reports of the Commissioners
3. Communications
4. Unfinished business
5. New business
6. Adjournment
The order of business may be transposed or changed,
including additions or omissions, by the Chairperson
immediately following the call to order or by a majority
vote of the members present and voting at any time during
the meeting.
ARTICLE VIII – DUTIES AND POWERS OF THE COMMISSION
Section 1. While the Commission is autonomous and will
conduct its business in accordance with the by-laws, it is
directly responsible for all its actions to the Board of
IAOHN.
Section 2. Investigate and evaluate educational activities
and participation in the Local, State and National
Associations of Occupational Health Nurses for the purpose
of granting an applicant membership in the Academy in
accordance with the code of the Academy.
Section 3. Investigate and evaluate educational courses and
programs as submitted by written application by the Local
and State Associations of Occupational Health Nursing.
Section 4.
a. Shall receive and act upon all applications for admission
to membership and renewal of membership.
b. All effort shall be made to maintain confidentiality with
regard to information supplied to the Commission on
candidates or members.
c. Shall keep a record of all candidates and the source of
their professional nursing status and/or other accredited
baccalaureate or masters degrees.
d. Shall keep a current record of all candidates accepted
for membership and submit a list annually to the IAOHN Board
of Directors.
e. Whenever a candidate has been refused membership, the
candidate and endorser shall be so notified. A reason for
the refusal shall be given to the candidate. This shall not
prevent the candidate from reapplying.
Section 5. Act as liaison between the Academy and the State
and Local Education and Program Committees.
Section 6. Approve all bills and expenses of the Commission
to be presented for payment to the IAOHN Board of Directors.
Section 7. Send a statement of dues and application for
renewal of membership in accordance with these by-laws to
aid in obtaining information as to candidates or educational
meetings and to expedite its work, subject to approval of
the IAOHN Board of Directors.
ARTICLE IX – DUTIES OF OFFICERS
Section 1. Duties of the Chairperson
a. Preside at all meetings of the Commission or appoint a
Pro-tem Chairperson in his/her absence.
b. Appoint a Recording Secretary for each meeting.
c. Appoint a Treasurer to keep a record of the Academy
finances.
d. Submit an annual written report or any other requested
report to the IAOHN Board of Directors.
e. Act as liaison between the Commission and IAOHN Board of
Directors.
f. May appoint committees composed of Commission members for
specific assigned projects.
g. Call special meetings in accordance with these by-laws.
h. Sign all Certificates of Membership and Membership cards.
i. Notify Commissioners in writing of the time and place of
meetings in accordance with these by-laws.
j. Attest the affix the SEAL OF THE ACADEMY to all
Certificates of Membership.
k. Notify all Academy members of the time and place of
Annual meeting in accordance with these by-laws.
Section 2. Duties of the Recording Secretary
a. Keep the minutes of the proceedings of all meetings of
the Commission.
b. Provide the Commissioners and the IAOHN President with a
copy of the minutes.
Section 3. Duties of the Treasurer
a. Forward all membership admission fees to the IAOHN
Treasurer.
b. Keep a statement of all Academy assets and outstanding
bills to be presented to the IAOHN Treasurer.
ARTICLE X – CERTIFICATE OF MEMBERSHIP
Section 1. Every member of admission to membership shall be
issued a copy of the by-laws of the Academy, a Certificate
of Membership and a Membership Card. Each member will be
issued a new criteria upon renewal of membership.
ARTICLE X1 – PARLIAMENTARY AUTHORITY
The rules pf Parliamentary Procedure contained in ROBERT’S
RULES OF ORDER, NEWLY REVISED shall be in authority
governing all meetings of the Academy and the Commission,
subject to these by-laws and special rules which may at any
time be adopted.
ARTICLE XII – AMENDMENTS
These by-laws may be amended in whole or part at the Annual
Meeting of the Academy by a two-thirds (2/3) vote of the
members present and voting, provided that the proposed
amendments shall have been approved by the IAOHN Board of
Directors and mailed to each voting member together with the
notice of the meeting..
APPENDATE: CHARTER CLAUSE
The following will be accepted as members of the Indiana
Academy of Occupational Health Nursing upon receipt of
application for the one (1) year period of March 25, 1972
through March 24, 1973:
1. Charter members of IAIN who had remained active in the
Association.
2. Industrial nurses who had been members of IAIN for
fifteen (15) years or more and have remained continuously
active in the Association.
